Conditions
These Terms & Conditions govern your use of the Sprouto website and the services we provide, including fixed-price projects, the Sprouto One subscription and Sprouto Enterprise engagements.
1. About These Terms
The website at www.sprouto.com, including its Sprouto Enterprise pages, is run by Sprouto, 37th Floor, One Canada Square, London, E14 5AA, United Kingdom ("Sprouto", "we", "us"). By using our website, requesting an estimate, paying for a project or subscribing to Sprouto One, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it. Our services are intended for businesses. Where a separate signed agreement or statement of work covers an engagement, that agreement takes priority over these terms where they differ.
2. Our Services
Sprouto designs, builds and maintains software for its clients, including: • AI development, AI agents and automation. • Web, mobile and backend software development. • UI/UX and product design. • Enterprise AI services such as workflow orchestration, data and knowledge systems, AI infrastructure, governance and security audits. Each engagement is delivered against the scope agreed for it: a ScopeAI scope of work, a Sprouto One backlog, or a proposal agreed with you.
3. Estimates & ScopeAI
ScopeAI, our online estimator, uses AI to turn your project description into a scope of work, a timeline and a price. Estimates are generated automatically and are for planning until you accept and pay for a quote. The fixed price shown at checkout is the price for the scope of work shown with it. We may decline or correct a quote that contains an obvious error before work starts, and will refund any payment made for it in full.
4. Fixed-Price Projects
A fixed-price project is paid in full, in advance, through our payment provider Stripe. Prices are in pounds sterling and exclude VAT, which is added where it applies. We will contact you after payment to confirm your requirements, access and a start date. Timelines are estimates and depend on you providing what we need on time. Work outside the agreed scope is a change request. We will tell you its cost and effect on the timeline before doing it, and only proceed once you agree.
5. Sprouto One Subscription
Sprouto One is a monthly subscription for one active workstream, with an unlimited backlog of requests worked on in priority order. It is billed monthly in advance through Stripe, from the day you subscribe, until cancelled. The price shown when you subscribe excludes VAT. You can cancel at any time by emailing us. Cancellation takes effect at the end of the current billing period, and work continues until then. Fees already paid for a billing period are not refunded, and unused capacity does not carry over. Pausing or scaling workstreams is available after any minimum term agreed with you.
6. Payments & Refunds
Payments are processed by Stripe. We do not see or store your full card details. If you cancel a fixed-price project before work starts, we will refund it in full. Once work has started, any refund covers only work not yet delivered, less costs we have reasonably incurred. We may pause work while a payment is overdue.
7. Client Responsibilities
You are responsible for giving us accurate information, and the content, access, approvals and feedback needed to deliver the work, and for having the rights to anything you give us to use. Delays caused by missing information, approvals or access may move delivery dates.
8. Intellectual Property
Once you have paid for it in full, you own the intellectual property in the custom code, designs and other deliverables we create for you, and we deliver the source code to your repositories. We keep ownership of our pre-existing tools, components and know-how. Where they form part of your deliverables, we grant you a perpetual, non-exclusive licence to use them as part of those deliverables. Open-source software, third-party libraries, fonts, assets and services remain subject to their own licences and terms.
9. Confidentiality
We keep confidential the information you share with us, including project briefs and files, and use it only to provide our services. You agree to do the same with our confidential information. If you ask for a non-disclosure agreement when contacting us, we will put one in place before you share sensitive details.
10. AI Services
AI systems, including ScopeAI and the AI features we build, can produce inaccurate, incomplete or unexpected results. You are responsible for reviewing AI output before relying on it for important decisions or publishing it.
11. Third-Party Services
Our services may rely on third-party platforms, hosting providers, APIs and AI models. We are not responsible for their outages, changes, pricing or limitations, though we will help you work around them where we can.
12. Termination
Either party may end an engagement if the other materially breaches these terms and does not put it right within 14 days of being asked to. We may suspend services where payments are overdue or continuing would create a legal or security risk. Fees for work already delivered remain payable.
13. Website Use
You agree not to misuse our website, including by attempting unauthorised access, interfering with its operation, sending automated or abusive submissions through its forms, or using its content unlawfully.
14. Limitation of Liability
We are not liable for indirect or consequential losses, or for loss of profit, revenue, data or goodwill. Our total liability for any engagement is limited to the fees you paid us for it in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law, such as for death or personal injury caused by negligence, or fraud.
15. Governing Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
16. Changes & Contact
